Senior Corporate Paralegal

AlphaTech Counsel seeks a Senior Corporate Paralegal to join our team. Unlike traditional law firms, we have a virtually paperless office, rely heavily on technology, and are set up with the capability for each member of our team to work remotely, as needed.

We are looking for an experienced professional who takes pride in her or his work, has good judgment, enjoys working in a small office, and is a quick learner. Attention to detail and organizational skills are essential and will be evaluated during our hiring process.

The new senior paralegal team member’s duties will include the following:

Preparing and filing corporate documents with the Wisconsin Department of Financial Institutions, the Delaware Secretary of State, and other secretaries of state offices
Preparing and filing securities documents with the Securities and Exchange Commission and state securities offices
Organizing client documents in shared cloud-based repository
Preparing drafts of agreements and other documents utilizing document automation software and forms base
Learning about and managing generative AI tools
Conducting research related to entities, statutes, regulations, best practices, and forms
Preparing stock option agreements and assisting companies with managing their stock option plans and stock option exercises
Preparing spreadsheet pro forma analyses of equity pricing and stock ownership in connection with investor financings
Preparing board and stockholder consents, resolutions, and meeting minutes
Managing transaction closings, including preparing disclosure schedules and VDR management, as well as assembling electronic closing sets using PDF technology with linking
Preparing stock ownership statements, stock certificates, stock ledgers, and capitalization tables
Managing stock records in Carta
Assisting with incorporations, debt and equity financings, conversions, mergers, and acquisitions

With proven skill, the role is expected to grow to include increased responsibility and will require additional judgment and client interaction.

Requirements:

Bachelor's degree
Either (i) a paralegal certificate and at least 5 years' experience in corporate law, or (ii) at least 10 years' experience in business or corporate law
Must have experience with Corporate Finance and Venture Capital.
High proficiency using Microsoft365
Experience with Microsoft Teams and SharePoint
Excellent attention to detail
Strong interpersonal, written, and oral communication skills

Based on experience, we are offering a compensation range of $80,000-120,000.
